Mengying AMHS Acquisition: A 615% Premium and Two Motion-Control Patents

On 25 October 2026 LPSK Materials Technology Co., Ltd. (002333.SZ), a Chinese maker of aluminium building profiles and photovoltaic frames, signed a definitive agreement to pay RMB 206.55 million in cash for 51 per cent of Suzhou Mengying Electronic Technology Co., Ltd., a supplier of automated material handling system (AMHS) equipment for display-panel and semiconductor plants. An income-approach valuation put Mengying's whole equity at roughly RMB 405 million — about 615 per cent above its book equity. In the same fortnight the target published two patent applications that, read closely, are servo-control documents rather than warehouse documents. For a maintenance or spares buyer, that is the most useful thing in the announcement.

Key takeaways

  • The price implies roughly 18.7 times Mengying's 2025 net profit of RMB 21.62 million on revenue of RMB 165 million, and it creates goodwill on a balance sheet whose owner is a construction-adjacent manufacturer.
  • The product wording changed between the 18 August intent agreement and the 25 October definitive agreement — from stacker cranes, polyurethane runner wheels, engineering plastics and machined parts to OHCV transport equipment and Stocker storage equipment. A component supplier was re-described as an equipment maker.
  • Application CN122923429A, published 16 October 2026, describes applying an asymmetric speed distribution to the front and rear drive-wheel units of an overhead cart while it crosses a curve. That is a two-axle rail-vehicle path-following problem, not a logistics problem.
  • The earn-out is flat in 2026 (+1.8 per cent on 2025) then steps to RMB 35.00 million in 2027 (+59 per cent) and RMB 44.25 million in 2028, and at least 30 per cent of each after-tax instalment must be spent buying LPSK shares on the secondary market.
  • What fails first on an overhead handling fleet is ordinary automation hardware: gearboxes and wheels, holding brakes, servo drives and their brake choppers, position feedback, 24 V supplies and the managed network that ties the fleet together.

What was signed on 25 October

Item Disclosed position
Buyer LPSK Materials Technology (002333.SZ); aluminium profiles, PV frames. States it had no equipment-manufacturing experience before this transaction.
Target Suzhou Mengying Electronic Technology Co., Ltd.; founded 19 August 2010, registered capital RMB 15 million, Kunshan. AMHS transport and storage equipment.
Stake and price 51 per cent for RMB 206,550,000, in cash, paid in instalments.
Implied valuation Whole-equity value of about RMB 405 million on the income approach — roughly 615 per cent above book equity, and about 18.7 times 2025 net profit.
Financials disclosed 2025: revenue RMB 165 million, net profit RMB 21.6249 million. First half of 2026: revenue RMB 100.1865 million, net profit RMB 9.3595 million.
Performance commitments Net profit of at least RMB 22.00 million (2026), RMB 35.00 million (2027) and RMB 44.25 million (2028); cumulative at least RMB 101.25 million.
Seller protections Instalment payment, over-performance bonus, cash compensation, equity buyback and non-compete clauses; at least 30 per cent of each after-tax instalment must be used to buy LPSK shares on the secondary market.
Strategic logic A traditional manufacturer buying an entry ticket into semiconductor automation, positioned publicly as a domestic substitute for imported high-end cleanroom handling equipment.
Disclosed risk The buyer acknowledges it lacks equipment-industry experience; the target's downstream base is still panel production, with semiconductor packaging and test described as an expansion direction rather than a settled revenue line.

LPSK's own numbers frame the premium. In the first nine months of 2026 its revenue fell 15.22 per cent year on year and its net profit fell 47.11 per cent, in a market where aluminium profile demand tracks construction and module frames. Paying about nineteen times a small acquisition target's earnings, in cash, from a declining core business, is a bet that the target's growth continues — which is exactly what the earn-out is drafted to police.

The product description changed between August and October

The intent agreement dated 18 August 2026 described Mengying's output as stacker cranes, high-performance polyurethane runner wheels, high-end engineering plastics and high-precision machined parts. The definitive agreement dated 25 October 2026 described it as OHCV transport equipment, Stocker storage equipment and high-precision machined parts.

The four August items are wear components and contract machining. The two October items are machines: an overhead cart that carries a FOUP or reticle pod along a rail near the ceiling, and a stocker that parks pods in a rack and retrieves them by address. Same company, different industry classification — and different failure modes, spares, service contracts and qualification path.

One terminology caution. The announcement itself only glosses OHCV as transport equipment. Third-party market reports group OHCV with overhead storage hardware, while the conventional acronyms for overhead transport are OHT and OHS. Treat the exact scope of that acronym as an open question, and confirm it against the manufacturer's own product literature before you specify a spare against it.

The curve-traversal patent is a servo problem

Application CN122923429A, a semiconductor production line transport curve adaptive control method, was filed in June 2026 and published on 16 October 2026. It is a pending application, not a granted patent, and its abstract is unusually concrete about the mechanism: the system obtains the cart's geometric parameters, the curve rail's parameters and the cart-to-rail relative position vector in real time; selects the inner or outer rail according to load state and inertia feedback; then applies an asymmetric speed distribution to the front and rear drive-wheel units so that the trajectory is corrected in a closed loop.

Claimed effects are smoother control through the entire curve, suppressed body sway, reduced motor load and better positioning accuracy. The load reduction is the applicant's claim, not an independently verified measurement.

Why this matters to parts planning: an overhead cart on straight rail is a cheap motion problem. A cart on a curve with a swinging payload is an expensive one. Vendor literature commonly cites line speeds around 1.2–1.5 m per second against a third to a half of that through curves, and the filing's whole design is about the instant the two driven axles stop agreeing with each other. That is where gearboxes, couplings, motor windings, brake linings and feedback devices accumulate fatigue.

The hardware the scheme needs to exist at all is exactly the hardware this site stocks: a resolver- or absolute-encoder-equipped synchronous servo motor with holding brake and resolver or Mitsubishi HG-SR 22-bit absolute-encoder motor; drives such as the Yaskawa SGD7S, Lenze 8400-series cabinet servo inverter and Fanuc dual-axis servo amplifier; incremental feedback through an Allen-Bradley 1734-IK encoder module; and a brake resistor and bleeder assembly to absorb the energy every curve deceleration puts back into the DC bus. Where the asymmetric-speed idea needs a safety story, a drive with an integrated safe-torque-off stage such as the KEB Combivert F5 with STO and an ABB SM812 safety supervision module are the common building blocks. See the full servo drive range and Lenze and Yaskawa brand pages.

The second patent is about holding a stack still

A second application, a semiconductor FOUP stacking method and system published on 23 October 2026, is also pending. Its described approach derives protection parameters from the protective features surrounding a pod and their direction, then dynamically adjusts the pod's posture so the stack stays balanced.

Stacking is a hoist-axis problem with a safety requirement attached. The load must be held when power is removed, the axis must know where it is after a control-power loss, and the machine must stop before geometry says it may not. Practically that means a servo motor with an electromagnetic holding brake such as the Mitsubishi HG-MR73B or the higher-inertia HG-KR73BJ, absolute feedback that survives battery loss on the HG-KR23BJ, position and end-stop sensing from an industrial proximity probe, and signal wiring that is maintained rather than improvised, for example the Siemens DRIVE-CLiQ signal cable. Browse sensors and instrumentation and cables and connectors.

What actually wears on an overhead handling fleet

Read the two filings as a maintenance engineer rather than an investor and a predictable parts list falls out.

Subsystem What wears or fails What to plan for
Travel drive Polyurethane tyre flat-spotting, gearbox tooth wear, coupling elements, motor bearings from curve-side radial load Rotation spares per cart, not per line; log curve mileage
Lift and grip Holding-brake gap and lining, belt or chain stretch, gripper pads, posture control settling time Brake gap checks at fixed intervals; absolute-encoder batteries tracked
Power and feedback Conductor-bar brushes or festoon cable, encoder cable, connector contacts, sensor faces Cable kits and probe spares; treat signal cable as consumable
Control and network 24 V supply capacitors, inverter DC-link and braking components, managed-switch ports DIN-rail PSUs and one spare switch per rail segment

On the electrical side the parts are ordinary: ABB SD833 24 V 10 A DIN-rail supplies and the Bently Nevada DIN-rail supply or rack-level GE Fanuc VersaMax power module for control cabinets; branch protection with Siemens 3RV motor-protection breakers and 3RT contactors from Siemens; a compact 0.37 kW Lenze Highline inverter for auxiliary fans and belts; and the network spine in the form of a Lenze RS20 managed fast-Ethernet switch or an Allen-Bradley Stratix 5700, per the networking and power supply ranges.

An honest note on scope: Mengying and the established AMHS original equipment makers are not in this catalogue, and this article's links point at the drive, sensing, power and network hardware that overhead handling fleets consume rather than at the machines themselves.

The financial terms show what the buyer is worried about

Mengying's disclosed margins moved the wrong way before the deal closed. Net margin was 13.1 per cent in 2025 (RMB 21.62 million on RMB 165 million) and 9.3 per cent in the first half of 2026 (RMB 9.36 million on RMB 100.19 million). First-half 2026 revenue was 60.7 per cent of the whole of 2025, so top-line momentum continued while profitability thinned.

Against that, the earn-out schedule is deliberately front-loaded with a cliff in the middle.

Year Committed net profit Change on prior commitment Implied hurdle
2026 RMB 22.00 million +1.8 per cent on 2025 actual Second half must deliver about RMB 12.64 million, 35 per cent above the first half
2027 RMB 35.00 million +59.1 per cent The real bet: margin recovery plus new bookings
2028 RMB 44.25 million +26.4 per cent Cumulative floor of RMB 101.25 million across the three years

The 30 per cent share-purchase covenant is unusual and worth reading twice: the seller must put at least 30 per cent of each after-tax instalment into LPSK shares on the secondary market. It ties the seller's realised wealth to the listed company's stock while the earn-out is being tested, which is a cheap way of buying alignment without a lock-up on the consideration itself.

Panel fabs today, back-end tomorrow

The disclosed downstream base is display panels, with semiconductor packaging and test named as the expansion direction. That gap is where the difficulty lives. Panel handling is already a domesticised market; wafer-level and back-end AMHS is not — reported market structures put the established Japanese and Korean integrators at roughly nine tenths of global share, with Chinese challengers holding low single-digit shares globally. Figures commonly circulated for the segment are a 2025 global AMHS market in the low tens of billions of US dollars per CICC and AMHS at roughly 3 per cent of fab equipment value, both third-party estimates rather than anything disclosed in this transaction.

The upstream is also telling. The component base for these machines — servo drives, motors, encoders, sensors and controllers — is dominated by suppliers such as Yaskawa, Panasonic, Mitsubishi Electric, Siemens and Omron, which is why a domestic equipment story still runs through imported automation parts and why localisation pressure lands on the parts chain as well as the machine. Two related reads on this site cover the same industrialisation theme from different angles: the Mitsubishi Electric and ABB low-voltage joint venture and Rockwell FactoryTalk Conductor and industrial AI agents. Frequently asked questions

How much did LPSK pay and for what?

RMB 206.55 million in cash for 51 per cent of Suzhou Mengying Electronic Technology, under an agreement signed 25 October 2026. The disclosed whole-equity valuation was about RMB 405 million on the income approach.

What does a 615 per cent premium mean in practice?

It is the gap between the income-approach equity value and the book equity of the target. Because the buyer acquired 51 per cent, the excess over the book value of the acquired net assets is recognised as goodwill and is tested against future earnings, which is why an earn-out schedule accompanies the price.

Are the two Mengying patents granted?

No. Both are published applications at the time of writing. Application CN122923429A was published on 16 October 2026 and the stacking application on 23 October 2026. They indicate engineering direction, not independently verified performance.

Why does a motion-control patent matter to a spare parts buyer?

Because it names the failure-prone moment. A control scheme that redistributes speed between front and rear drive wheels on curves exists to manage sway and drivetrain load, and sway plus radial load shorten gearbox, coupling, bearing and brake life on overhead carts.

Is Mengying already supplying semiconductor fabs?

The disclosed position is that panel-industry customers form the main downstream base and semiconductor packaging and test is an expansion direction. No back-end customer list or qualification status was disclosed in the coverage reviewed.

What profit must the target deliver?

At least RMB 22.00 million in 2026, RMB 35.00 million in 2027 and RMB 44.25 million in 2028, cumulatively at least RMB 101.25 million, with cash compensation, buyback and bonus clauses attached.
